Terms of Service | Transcend Web Design, LLC

These Terms of Service govern your engagement with Transcend Web Design, LLC for all web design and related services.

1. Services

Transcend Web Design, LLC agrees to provide the services ("Services") as outlined in the client-specific Service Agreement or Statement of Work. The scope of services, deliverables, and timelines will be defined in that document. The client agrees to provide all necessary cooperation, information, and access for Transcend Web Design, LLC to perform the Services.

2. Payment Terms

Fees for Services will be invoiced as set forth in the Service Agreement. Payment terms and schedules will be defined in your project agreement. Late payments may result in suspension of Services.

3. Term and Termination

The initial term of the engagement will be specified in the Service Agreement. Following the initial term, the agreement may continue on a month-to-month basis. Either party may terminate the agreement with written notice, typically thirty (30) days, as specified in the Service Agreement. Upon termination, the client is responsible for all fees accrued up to the effective termination date.

4. Confidentiality

Both Transcend Web Design, LLC and the client agree to maintain the confidentiality of all proprietary information exchanged during the course of the engagement. This includes, but is not limited to, business strategies, financial data, and project-related materials. This obligation shall survive the termination of the agreement.

5. Intellectual Property

The client shall retain ownership of all pre-existing intellectual property. Any creative work, design assets, or website deliverables developed by Transcend Web Design, LLC specifically for the client ("Deliverables") will become the property of the client upon full and final payment for the Services. Transcend Web Design, LLC retains ownership of its proprietary processes, tools, and methodologies used to provide the Services.

6. Disclaimers and Limitation of Liability

The client acknowledges that business outcomes are not guaranteed. Transcend Web Design, LLC makes no warranties regarding specific traffic levels, conversion rates, or revenue outcomes. The liability of Transcend Web Design, LLC for any claim arising from the Services shall be limited to the amount of fees paid by the client to Transcend Web Design, LLC in the three (3) months prior to the claim. Transcend Web Design, LLC is not liable for any lost profits or indirect damages.

7. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles.
